Welcome to Carlos Machuca Media (the "Company," "we," "us," or "our"). By accessing or using our website, customized CRM platform, marketing automation tools, or any services provided by us (collectively, the "Services"), you (the "Client" or "User") agree to be bound by these Terms of Use ("Terms"). Please read them carefully before utilizing the platform.


1. Services Provided

Carlos Machuca Media provides technical implementation, infrastructure architecture, and access to a specialized CRM and marketing automation platform built upon the GoHighLevel ecosystem.

The specific software features, automation workflows, contact storage limits, and user seats granted to the Client are strictly determined by the tier selected (Starter, Growth, or Pro) as outlined on our official Pricing Page.

Our Services are strictly limited to system deployment, technical setup, asset creation, and infrastructure architecture. Carlos Machuca Media acts solely as an enterprise system architect; we do not manage day-to-day platform operations, handle live database communication, or interact with the Client's leads.


2. Subscription, Billing & Fees

Recurring Retainers & Fees: By subscribing to any of our multi-tier CRM infrastructure plans, you explicitly authorize Carlos Machuca Media to charge your provided payment method on a recurring monthly billing cycle.

Setup and Onboarding: Unless explicitly stated otherwise in a separate written agreement or active promotional offering, initial workspace build-outs, configuration fees, or technical integrations are built into the initial billing structure or required retainer agreements.

Cancellation Policy: You may cancel your recurring subscription at any time through your client billing portal. To ensure that your payment method is not billed for the subsequent billing cycle, cancellation requests must be fully processed at least seven (7) days prior to your upcoming scheduled billing date. No prorated refunds are provided for partial monthly usage.


3. Workspace Usage & System Limits

To ensure optimal database speed, API performance, and system stability across our shared architecture, each plan tier is subject to strict volume limitations:

Starter Plan: Up to 2,000 active contacts and a maximum of 10 user seats.

Growth Plan: Up to 5,000 active contacts and a maximum of 30 user seats.

Pro Plan: Up to 10,000 active contacts and a maximum of 50 user seats.

Exceeding these dynamic limits may cause automated system notifications and require an immediate, mandatory upgrade to the matching service tier to protect database integrity and ensure uninterrupted platform availability.


4. Advertising Spend & Media Content

Ad Spend Responsibility: For Clients utilizing our integrated paid advertising deployment pipelines (including Meta Ads and Google Ads integrations): All financial budgets dedicated to ad spend are paid directly by the Client to the respective advertising networks (Meta Platforms, Inc., Google LLC).

Scope of Management: Fees paid to Carlos Machuca Media cover exclusively the technical setup, funnel engineering, tracking pixel integration, and structural optimization of those campaigns. Our baseline setup services cover image-based ad creatives only; custom video editing, high-definition multimedia production, or extended motion graphics are subject to extra, independent service fees.


5. Client Responsibilities & Data Compliance

Lead Engagement & Closure: While our deployed systems construct advanced automation, automated SMS triggers, email follow-ups, and AI conversational assistants, the Client retains absolute and sole responsibility for direct customer service, answering live notifications, and executing final sales closures.

Legal Data Compliance: The Client represents and warrants that all databases, lead lists, and contact records imported into the platform were acquired legally and with explicit opt-in consent. The Client agrees to comply fully with all applicable state, federal, and international telecommunication regulations, including but not limited to:

The Telephone Consumer Protection Act (TCPA)

The CAN-SPAM Act

Mobile carrier registration frameworks (A2P 10DLC profile verifications)

Local regulatory laws governing automated text messaging and email outreach.

Failure to maintain compliance or generating excessive spam complaints will result in immediate suspension of the Client’s account without a refund.


6. Limitation of Liability & Platform Warranty

Carlos Machuca Media provides access to the platform and architectural configurations on an "as-is" and "as-available" basis. While we make every commercially reasonable effort to maintain 99.9% system uptime, we do not guarantee uninterrupted or error-free operations.

We shall not be held liable, financially or legally, for any loss of business, projected profits, data corruption, or operational delays caused by third-party infrastructure failures, API contract changes made by external networks (such as Meta, Google, Twilio, or WhatsApp), or carrier delivery filtering.


7. Intellectual Property

All automation recipes, custom code snippets, custom funnel layouts, CSS adjustments, and instructional video assets provided within our training portal remain the intellectual property of Carlos Machuca Media. Deployed workspaces are licensed to the Client for the duration of their active subscription and may not be duplicated, sold, or reverse-engineered for external commercial redistribution.
